INTRODUCTION

We are Spark Market Research Limited trading as LifeStars, a company incorporated in England and Wales. Our company number 13257906 and our registered office is at Studio 1, Cross York Street Studios, Cross York Street, Leeds LS2 7BL (“LifeStars” / “we”/ “our” / “us”). LifeStars is a trading brand of Spark Market Research Limited. Spark Market Research is a group company of Audience Collective Limited. When we mention “Spark Market Research Limited”, we are referring to the relevant company in the Audience Collective Group responsible for processing your data

By ticking to agree to these Terms and Conditions during the registration process to register your membership in the LifeStars application (the “App”) or LifeStars website (the “Website”), you agree to be bound by these Terms and Conditions and accept and agree to be bound by the terms laid out in the LifeStars Privacy Policy http://www.LifeStars.com/privacy-policy. These policies apply to any:

  • uses of the App or Website (the “Service”)

  • forms, materials, consent tools, responses, posts and all other content available on the Service (“Content”) and

  • material which you contribute to the Service including any upload, survey response, survey content, etc. to any interactive services associated with it (“User Content”)

Should you not wish to accept these Terms and Conditions, you must exit the Service immediately.

We reserve the right to amend or modify these Terms and Conditions from time to time. The most current version of the Terms and Conditions will always be at https://register.lifestars.com/terms-4-0-0. If we make a change to these Terms and Conditions that, in our sole discretion, is material, we will update https://register.lifestars.com/terms-4-0-0. By continuing to access or use the services after those changes become effective, you agree to be bound by the revised Terms and Conditions.

 

TERMS OF PARTICIPATION

To participate in any LifeStars activities, you must register with LifeStars via the Service and create a membership profile.

Prospective members must be 16 years or older to join LifeStars.

In return for LifeStars granting you access to the Service, you agree to provide true, accurate, current and complete information about yourself and provide genuinely held opinions where an opinion is stated, as well as maintain and update your personal membership details so as to keep it true, accurate, current and complete.

 

YOUR MEMBERSHIP AND REWARDS

Once you have completed the registration process, you will be provided with a personal membership (“Membership”) for the Service. Only one Membership is permitted per person and any person found to have multiple Memberships may have any number of, up to all of their Memberships deleted. LifeStars may demand proof of identity from any Member to verify Membership or for any other Lawful reason (including but not limited to verification for any request of personal data [EU GDPR Recital 64]).

A unique email address must be used for each Membership and that Membership must only be accessed by the person permitted that Membership without the express permission of LifeStars. You agree to notify LifeStars immediately if you become aware of or suspect any unauthorised use of your login information and/or Membership and/or any other breach of security.

You may be awarded rewards at the discretion of LifeStars into your Membership through the Service for participating in any survey or activity. The amount of rewards awarded may vary and is the decision of LifeStars.

Rewards will only be awarded to Members who qualify for the reward inherently and follow all instructions correctly regarding qualification for that reward. Failure to correctly follow instructions may result in no rewards being awarded.

Rewards awarded to you will be recorded in your Membership but are not available for redemption until a specified fulfilment level has been reached.

If LifeStars terminates or suspends your Membership for any Lawful reason or for any reason outlined in these Terms and Conditions, rewards you have been awarded cannot be redeemed and may be forfeited. LifeStars reserves the right to reclaim any rewards recorded in your Membership or paid to you following a breach of these Terms and Conditions.

LifeStars reserves the right to change the Service in such a way that it may influence the ways in which you qualify for a reward, the frequency with which you may earn rewards or the fulfilment level before you can redeem a reward.

Rewards have no monetary value until redeemed and may not be transferred between Memberships or pooled together and the sale or barter of rewards and by extension, Memberships is strictly prohibited.

You accept that errors may arise which result in LifeStars, in its reasonable judgment, adjusting the rewards associated with your Membership in any way. LifeStars may also adjust the rewards associated with your Membership if LifeStars suspects fraud or for any other reasonable reason (such as a breach of these Terms and Conditions).

LifeStars may terminate any Membership that has become “Dormant” (meaning that the person associated with the Membership has not accessed the Service within any 12 month period) and reserves the right to change the length of period of time required to determine if a Membership has become Dormant. Any unredeemed rewards associated with a Membership terminated in this manner will be forfeited. LifeStars may attempt to contact the person associated with a Membership before it becomes Dormant to notify them that their Membership is at risk of termination but has no obligation to do so.

 

ACCEPTABLE USE AND PROHIBITED USE

You may only use the Service for lawful purposes and not in any way that breaches any applicable local, national or international laws or regulations. By using the Service, you agree, without limitation, not to:

  • Systematically retrieve data or other content from the Service to create or compile, directly or indirectly, a collection, compilation, database, or directory without written permission from us.

  • Make any unauthorised use of the Service, including collecting usernames and/or email addresses of users by electronic or other means for the purpose of sending unsolicited email, or creating user accounts by automated means or under false pretences.

  • Circumvent, disable, or otherwise interfere with security-related features of the Service, including features that prevent or restrict the use or copying of any Content or enforce limitations on the use of the Service and/or the Content contained therein.

  • Engage in unauthorised framing of or linking to the Service.

  • Trick, defraud, or mislead us and other users, especially in any attempt to learn sensitive account information such as user passwords.

  • Make improper use of the Service, including our support services or submit false reports of abuse or misconduct.

  • Engage in any automated use of the Service, such as using scripts to send comments or messages, or using any data mining, robots, or similar data gathering and extraction tools.

  • Interfere with, disrupt, or create an undue burden on the Service or the networks or the Service connected.

  • Attempt to impersonate another user or person or use the username of another user.

  • Use any information obtained from the Service in order to harass, abuse, or harm another person.

  • Use the Service as part of any effort to compete with us or otherwise use the Service and/or the Content for any revenue-generating endeavour or commercial enterprise.

  • Decipher, decompile, disassemble, or reverse engineer any of the software comprising or in any way making up a part of the Service, except as expressly permitted by applicable law.

  • Attempt to bypass any measures of the Service designed to prevent or restrict access to the Service, or any portion of the Service.

  • Harass, annoy, intimidate, or threaten any of our employees or agents engaged in providing any portion of the Service to you.

  • Delete the copyright or other proprietary rights notice from any Content.

  • Copy or adapt the Service software, including but not limited to HTML, JavaScript, or other code.

  • Upload, submit or transmit (or attempt to upload, submit or transmit) any inappropriate material, including, but not limited to, bad language, inappropriate media (including images, video and audio), knowingly false information, excessive use of capital letters and spamming (continuous posting of repetitive text).

  • Upload, submit or transmit (or attempt to upload, submit or to transmit) viruses, Trojan horses, or other material, that interferes with any party’s uninterrupted use and enjoyment of the Service or modifies, impairs, disrupts, alters, or interferes with the use, features, functions, operation, or maintenance of the Service.

  • Upload or transmit (or attempt to upload or to transmit) any material that acts as a passive or active information collection or transmission mechanism (sometimes referred to as “spyware” or “passive collection mechanisms” or “pcms”).

  • Except as may be the result of standard search engine or Internet browser usage, use, launch, develop, or distribute any automated system, including without limitation, any spider, robot, cheat utility, scraper, or offline reader that accesses the Service, or using or launching any unauthorised script or other software.

  • Disparage, tarnish, or otherwise harm, in our opinion, us and/or the Service.

  • Use the Service in a manner inconsistent with any applicable laws or regulations.

 

TERMINATING YOUR MEMBERSHIP

You may terminate your Account at any time and for any reason by:

  • Navigating to your settings page, contained within your profile and selecting “Delete Account”

  • Emailing us at hello@lifestars.com, or using the “Contact us” option in your profile to do so, and requesting that your Account is terminated

You agree that LifeStars may terminate your Account and your access to the Service (or, at our sole option, applicable portions of the Service) at any time and for any reason, including, without limitation, for lack of use, or if LifeStars, in its reasonable judgement, believes that you have violated or acted inconsistently with the letter or spirit of these Terms and Conditions.

We are not required to provide you with any notice or warning prior to any such termination. You may, as a result of termination, lose your Account and all information and data associated therewith, including without limitation your rewards, as applicable and LifeStars is under no obligation to compensate you for any such loss.

 

INTELLECTUAL PROPERTY

The content on the Service, including and not limited to all materials, surveys, inventions, text, logos, software, scripts, data, graphics, photographs, sounds, music and videos (“Company Content”) and the trademarks, service marks and logos on the Service are the intellectual property of, or are authorised for use by, LifeStars and its affiliates. You may access and use Company Content and the Service only as permitted under these Terms and Conditions and Privacy Policy.

Company Content may not be used, including as part of trademarks and/or as part of domain names, in connection with any product or service in a manner that is likely to cause confusion, and may not be copied, imitated, or used, in whole or in part. You may not download, copy, reproduce, distribute, transmit, broadcast, display, perform, publish, sell, licence, create derivative works from, or otherwise exploit any Company Content unless explicitly allowed in these Terms and Conditions.

 

USER GENERATED CONTENT

Use of the Service may involve you submitting responses to questions, text, data and other content to us (User Content) which may be visible to other users of the Service. You acknowledge that User Content provided by you is your sole responsibility.

You acknowledge that User Content does not represent the opinion of LifeStars and LifeStars does not control, pre-screen or monitor, the User Content submitted to the Service, nor does LifeStars guarantee the accuracy, integrity or quality of the User Content. LifeStars may review User Content to determine whether it is illegal or if it violates these Terms and may modify, prevent access to, delete or refuse to display User Content at our discretion and without notifying you.

You acknowledge that by using the Service, you may be exposed to User Content, and you agree that you alone must evaluate and bear all risks associated with the use (including any reliance on its accuracy, completeness or usefulness) of any User Content and that LifeStars does not hold any responsibility for the results of any decisions or actions taken as a result of User Content.

You acknowledge that by submitting, posting or uploading User Content, you give LifeStars a perpetual, worldwide, royalty-free, non-exclusive, sublicensable, irrevocable, fully transferable right and licence to use (including the right to copy, display, publish, modify, adapt, translate, create derivative works from and exploit) your User Content in whole or in part and/or to incorporate it in other works in any form with or without your name for any lawful purpose.

You warrant that the possession and use by LifeStars of the User Content for the purpose of providing the Service and the Content will not infringe upon the Intellectual Property Rights of any third party or contravene any applicable local, national or international laws or regulations.

 

THIRD PARTY LINKS

The Service may, from time to time, contain links to and from the websites of our partner networks, advertisers and affiliates.  Please note that these websites and any services that may be accessible through them have their own privacy policies and that we do not accept any responsibility or liability for these policies or for any personal data that may be collected through these websites or services. Please check these policies before you submit any personal data to these websites or use. These websites are not necessarily under the control of LifeStars and the inclusion of any link to any website does not imply endorsement by LifeStars of the website or its operators.

 

LIMITATION OF LIABILITY

To the fullest extent permitted by applicable law, LifeStars and its affiliates, officers, directors, employees, agents, and licensors shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the Service; (ii) any conduct or content of any third party on the service; (iii) any Content obtained from the Service; and (iv) unauthorised access, use, or alteration of your transmissions or content. In no event shall LifeStars' total liability for all claims related to the Service exceed the amount paid by you to LifeStars for access to the Service in the past twelve months.

DISPUTE RESOLUTION

In the event of any dispute, controversy, or claim arising out of or relating to these Terms and Conditions or the use of the Service, the parties agree to the following process:

  • Informal Resolution: Most disputes can be resolved informally, so if you have an issue with the Service, or any part of the Service, you agree to contact us before initiating a lawsuit or arbitration. You can do this by sending us a description of the dispute including your contact details to hello@lifestars.com. If the dispute is not resolved within 60 days after we receive your written notice, we agree to proceed with further dispute resolution as outlined below.

  • Arbitration: If the dispute remains unsolved after attempting to resolve the dispute in accordance to the “Informal Resolution” process (above), it shall be finally settled by binding arbitration in accordance with the Arbitration Act 1996. The arbitration shall take place in Leeds, United Kingdom, and be conducted in English. The tribunal shall consist of a single arbitrator appointed by mutual agreement of both parties or, failing such agreement, by an independent arbitration body such as the Chartered Institute of Arbitrators (CIArb). The arbitrator's decision shall be final and binding on both parties, and judgment on the award may be entered in any court of competent jurisdiction. The arbitration proceedings, including all materials submitted and the final decision, shall remain confidential unless disclosure is required by law. Each party shall bear its own legal costs, with the costs of arbitration shared equally unless the arbitrator decides otherwise.

  • Governing Law: These Terms and Conditions shall be governed by and construed in accordance with the laws of England and Wales, without regard to its conflict of law principles.

  • Exceptions: Notwithstanding the foregoing arbitration agreement, either party reserves the right to seek injunctive relief or other equitable remedies in the courts of England and Wales to prevent or address breaches of intellectual property rights or unauthorised use of the Service. In such cases, the parties submit to the exclusive jurisdiction of the courts located in England and Wales.

 

OBLIGATION TO REIMBURSE & INDEMNITY

You agree to fully reimburse LifeStars, its affiliates, officers, directors, employees, agents, and licensors for any expenses, costs, or losses (including reasonable attorneys' fees) incurred as a result of your use of the Service, violation of these Terms and Conditions, or infringement of any rights of another.

You agree to indemnify, defend, and hold harmless LifeStars, its affiliates, officers, directors, employees, agents, and licensors from and against any and all claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or in any way connected with your access to or use of the Service, your violation of these Terms and Conditions, or your infringement of any rights of another.

 

FORCE MAJEURE

Neither LifeStars nor you shall be liable for any failure or delay in performance under these Terms due to causes beyond their reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, civil unrest, governmental actions, epidemics, pandemics, labour strikes, or interruptions in internet services. The affected party shall notify the other party promptly upon becoming aware of such an event and shall make reasonable efforts to mitigate the impact of the force majeure event on their obligations under these Terms.

 

GENERAL TERMS

If any provision of these Terms and Conditions is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision shall be deemed severed from these Terms, and the remaining provisions shall continue in full force and effect. The invalid, illegal, or unenforceable provision will be replaced with a valid and enforceable provision that most closely reflects the intent of the original provision.

These Terms and Conditions, along with our Privacy Policy and any other legal notices or agreements expressly incorporated by reference, constitute the entire agreement between you and LifeStars regarding the use of the Service. They supersede all prior or contemporaneous understandings, agreements, representations, and communications, whether oral or written.

If LifeStars doesn’t enforce every right or provision in these Terms, we still have the right to enforce these rights and provisions in the future. Exercising a right doesn’t impact other rights, unless specified otherwise.

LifeStars will provide any notices by posting them in the App or on the Site or by sending via other communications methods (including but not limited to email or App notifications). You and LifeStars agree to communicate digitally.

 

WARRANTY

You warrant to LifeStars that you have the authority, capacity and ability to agree to and abide by these Terms and Conditions.
